Agreement Summary
This page holds your details. They're the ones you gave on our payment page when you signed (see "Signing" below), except where a row says otherwise. Together with the Terms of Service below and our Privacy Policy, this page makes up the agreement between you and us. Where this page's filled-in details and the terms say different things, this page's details apply.
Your separate consents. Some steps need your separate OK, each with its own tick. They aren't on our payment page: you can give any of them at any time after you sign, and a step waits until you do (clause 13.8):
- uploading the paid jobs you tell us about to Google;
- access to your website, for our tracking and our copy of your site;
- checking your website and your business listings; and
- keeping general figures from your results, with nothing that identifies you, to improve our software and guide other clients' ads.
Signing. You sign on our payment page, which you reach through the link we or our sales rep sent you. It has two parts: our sign-up pages, then Stripe's secure payment page, straight after them. On our sign-up pages, you:
- open this agreement through the link to its dated copy on our website, which never changes once it's published;
- give your business's legal name, its ABN and your role;
- tick the required "I agree" box; and
- type your full name, as your signature.
Then, on Stripe's page, you set up your first payment and your monthly direct debit, under Stripe's Direct Debit Request (clause 6.5).
The box says:
I may sign for this business, and I agree to QuestConnect's client agreement dated 7 November 2026, including the two-month launch: two months minimum, at the monthly fee shown on this page.
Typed full name: blank: filled in with your details when you sign · Date and time: blank: filled in with your details when you sign
By ticking the box and typing your name, you agree to sign electronically (clause 19.9), and you confirm that you've read the important terms box and the terms.
We keep a record, partly held by Stripe, of what you typed and ticked, your email address, when you signed, your internet address and browser, and the dated version of this agreement the page linked to. Stripe also records when you agreed to its Direct Debit Request. We then email you a PDF copy of this agreement with your details filled in.
Important terms
Please read these before you sign. Each one is set out in full in the terms below.
- Price. $480 a month plus 10% of your monthly ad budget, in Australian dollars, with no GST added. At the $1,000 minimum budget, that's $580. Your ad spend is separate: you pay it to Google directly, from your own account.
- The two-month launch. Two months minimum, at your monthly fee. Your first fee is charged when you sign up, and the second at the start of your second month, even if you've cancelled. If you cancel during the launch, it takes effect when the launch ends (or 14 days after you email us, if later). After that, it's month to month (clause 10.2).
- When we charge. Your first fee is charged on your start date, usually the day you sign up, then on the same day each month, by direct debit. Google's own checks can take 1 to 4 weeks before your ads run, and your fee starts on your start date anyway (clause 6.3).
- Cancelling. Email admin@questconnect.com.au. We need 14 days' notice: your cancellation takes effect 14 days after your email, or when the launch or the month you've paid for ends, if that's later. If those 14 days run past a billing date, you pay only for the extra days. There's no fee to leave, and no refund for part of a month unless the Australian Consumer Law gives you one (clause 10.3).
- Paused ads. Your fee carries on while your ads are paused, whether you asked, you're on holiday or our safety system paused them. There are four exceptions, where charging pauses: Google suspends your account for 14 days for a reason that isn't your doing; your ads can't start within 14 days for one of the reasons in clause 6.4; a problem on our side keeps your ads paused for more than 3 business days in a row; or you remove our access (clauses 4.5, 6.4 and 6.10).
- Unpaid fees. If a fee is still unpaid after Stripe's retries and a 7-day written notice, your ads pause until you pay, and paying switches them back on. A payment you dispute with your bank counts as unpaid from the day you raise it, with the same 7-day notice (clauses 6.7 and 6.8).
- Only us. While this agreement runs, only we manage your Google Ads (clause 4.6).
- Your existing ads. Our first step, once we can see your account, is to pause any ads already running there. We never delete them (clause 4.8).
- Our safety system. It can pause or lower your ads at any time to keep spending safe. It can never raise your spend (clause 9.1).
- Your budget. Your monthly ad budget changes only when you sign a short change form (clause 7.1).
- No guaranteed results. We promise the work, done with care and skill, not a number of leads (clause 14).
- When you leave. We delete what's tied to your business within 60 days. We keep your agreement, invoices and payment records for 7 years (clause 10.8).

Terms of Service
01Who we are and what these terms cover
In short: these terms cover our Google Ads management, and the one-off audit we sell on our website (clause 2.6). They sit with the Agreement Summary you sign.
1.1Us and you. "We", "us" and "our" means QuestConnect, the registered business name of the partnership of E.C. Nemeth and J.V. Webb (Ethan Nemeth and Jay Webb), ABN 19 473 660 144, of Byford, Western Australia. "You" and "your" means the business named in your Agreement Summary or, for an audit on its own, the business that orders it (clause 2.6).
1.2When these terms apply. You accept these terms when you tick the "I agree" box and type your full name on our payment page, as the "Signing" part of your Agreement Summary says. The terms you accept are the dated copy on our website that the page linked to, which never changes once it's published. We email you a copy of your signed Agreement Summary and these terms to keep. For an audit on its own, clause 2.6 says when you accept these terms.
1.3The agreement. These terms, your Agreement Summary, any budget change form you sign (clause 7.1) and our Privacy Policy together make up "the agreement". Your Agreement Summary applies over these terms only for its filled-in details, and these terms apply over the important terms box.
1.4How we do the work. We do the work with our own people and tools, which may include software, automation and outside services such as AI, as our Privacy Policy explains. Whoever or whatever does a task, the promises in this agreement are the same. We check your account at least once each business day, and the steps in clauses 4.9, 7.4 and 9.1 happen no later than that check.
1.5Your client portal. Some things in these terms use your client portal, such as changing your budget. Until a part of the portal is ready, you can do the same thing by email to us, and it counts the same.
1.6Words we use.
- Business day: a weekday that isn't a public holiday in Western Australia.
- Ad spend: what you pay Google for your ads to show. It's separate from our fee.
- Google Ads account: the account your ads run in. It's yours.
- Manager account: our Google Ads manager account. We link it to yours, so we can run your ads without ever needing your password.
- Enquiry: a call, message or form from someone who saw or clicked your ad.
- Start date, billing date, launch period: as set out in your Agreement Summary and clauses 6.3 and 10.2.
- Safety system: the part of our work that can only pause your ads or lower your budgets, to keep spending safe (clause 9.1).
- In writing: by email, or through your client portal.
- $: Australian dollars. Every amount in the agreement, including your Agreement Summary, is in Australian dollars.
02What we offer
In short: we build and run your Google Ads for $480 a month plus 10% of your monthly ad budget. No GST is added. On our website, we also sell a one-off audit for $300 (clause 2.6).
2.1What we do. We:
- set up your Google Ads account in your name, or tidy up the one you already have;
- build Google Search campaigns, and other Google Ads campaign types if we both agree they suit your business;
- pick the keywords, and block the searches that waste your money;
- write your ads and their extras, such as call buttons, your location and links to pages on your site;
- aim your ads at the areas you want work in;
- set and manage bids and daily budgets, inside your monthly ad budget;
- set up conversion tracking, so we can see which clicks became calls or enquiries;
- use the jobs you tell us you've won to steer the bidding towards paid work;
- point out anything on your website that's costing you enquiries (making the changes is up to you); and
- send you a report every month (clause 8).
2.2Prices. Your monthly fee is $480 plus 10% of your monthly ad budget, and it's written in your Agreement Summary. All prices are in Australian dollars. We're not registered for GST, so no GST is added.
2.3What isn't included. We only do Google Ads. These aren't included: search engine optimisation (SEO); Facebook, Instagram or other social media ads; Microsoft (Bing) Ads; Google Local Services Ads; building, hosting or changing your website; video, photography or graphic design; email marketing; or setting up a CRM. If you'd like something extra, we'll agree what it is and what it costs in writing before any work starts.
2.4Who looks after your account. QuestConnect looks after your account (clause 1.4). We won't hand your account to another company to run without your OK in writing.
2.5Our standard. We'll do the work with reasonable care and skill, to the standard you'd expect from a competent Google Ads manager.
2.6Audit only. On our website, we also sell a one-off audit on its own. Our sales reps don't offer it.
- What it is. We check whether Google Ads is likely to work for your business, and send you a written report. We look at your business and your website (including an estimate of its traffic), how many competitors you have in your area and trade, who they are, and which of them advertise on Google now. If you already have a Google Ads account, we review it too and say what to fix.
- Access. If you have a Google Ads account, you give us access to it for the audit, never your password (clause 4.2). We change nothing in it, and we remove our access within 3 business days of sending your report.
- Price. $300, paid up front when you order it on our website. No GST is added, and you get an invoice showing our ABN.
- When you get it. We email you the report within 5 business days of your payment and, if you have a Google Ads account, our access to it.
- Nothing ongoing. It's a one-off, with no ongoing commitment, no monthly fee and no launch period. Buying it doesn't start our monthly service. If you'd like us to run your ads afterwards, you sign up for that separately.
- Which terms apply. You accept these terms when you order it. For an audit on its own, only clause 1, clauses 2.5 and 2.6, and clauses 11 to 19 apply, as far as they fit, and notices go to the email address you gave when you ordered.
03Before we take you on
In short: we take on local service businesses in Australia that can give Google Ads a fair go. If the numbers say your ads won't pay, we'll tell you.
3.1Who we take on. We build and run your ads only if:
- your business works from one place in Australia and serves customers locally;
- it isn't in a field we don't take, such as health, medical, finance or gambling, where privacy law or Google's rules ask more than we can offer yet;
- your ABN is active;
- you're buying our service for your business, not for personal, domestic or household use;
- your monthly ad budget is at least the minimum in your Agreement Summary;
- you have a website that can take our tracking, or you've agreed to move to one that can; and
- you agree to tell us which enquiries became paid work (clause 5.1).
3.2Your goals, in writing. Before your ads start, we record your goals with you, with our honest view of each. If we think a goal is out of reach for your budget, we'll say so, and ask you to confirm you understand before we go on.
3.3Sometimes the honest answer is don't advertise. If, before your ads start, we find that Google Ads is unlikely to pay for your business, we'll tell you in writing. You can then end the agreement by telling us in writing within 7 days. Your first monthly fee isn't refunded, because it paid for the set-up work, unless the Australian Consumer Law gives you a refund. No second fee is charged.
3.4Declining. We can decline any business before its agreement starts. If we find after you've signed that your business doesn't meet clause 3.1, we can end the agreement by telling you in writing. It ends that day, nothing more is charged, and we refund everything you've paid us within 5 business days.
3.5The minimum. Your monthly ad budget can't go below the minimum while we manage your ads.
04Your Google Ads account
In short: it's your account, in your name, paid with your own payment method. Only we manage it while you're with us. You can see everything, always, and we unlink within 3 business days of you asking.
4.1You own it. You own your Google Ads account at all times. If you don't have one, we'll help you set one up in your name, with your email address and your business details.
4.2Access. You link your account to our manager account and give us the access we need to do the work. You keep admin access the whole time. We never ask for your Google password.
4.3Paying Google. Google charges your ad spend to the payment method in your Google Ads account. It never passes through us, and you're responsible for paying it.
4.4We never hold your account back. We'll never hold back, restrict or delay your access to your Google Ads account, Google Analytics, Google Tag Manager or any of your data, for any reason, including a disagreement about fees.
4.5Removing our access. You can remove our access whenever you like, and if you ask us to unlink, we'll do it within 3 business days. Removing our access doesn't cancel the agreement by itself, so we'll ask whether you meant to leave (clause 10.3). From the third day after we find our access removed, we pause charging until our access returns or the agreement ends (clause 6.10). During the launch period, your second fee is still charged (clause 10.2).
4.6Only us. While the agreement runs, we manage your Google Ads account on our own. No other company, agency, manager, tool or script may change it, and you remove every other company's access before your ads start. We'll show you how. Other companies may still run your SEO, your social media ads or your website. If you'd like another company to manage your Google Ads, end the agreement (clause 10.3).
4.7A campaign of your own. You can run a campaign of your own in your account if you ask us by email or phone and we've confirmed it won't clash with ours. We don't run it or watch it: our safety system doesn't cover it, and its spend doesn't count towards your monthly ad budget with us.
4.8Your existing ads. Once you've signed and paid and we can see your account, our first step is to pause every campaign already running in it. We never delete them. They stay paused while we manage your account, because the campaigns we build carry over what worked in them.
- If Google won't let us pause one, it keeps running and counts towards your monthly ad budget.
- If you cancel before your new ads start, we switch nothing on, and your old campaigns stay paused for you to switch back on.
- When you leave, you can switch them back on yourself, and we'll tell you how.
4.9Changes you make. Some settings you can change yourself in your portal. Those changes apply at once, after you tick that you understand we're not responsible for poor results they cause. Please talk to us before changing anything directly in Google Ads. If you or anyone else changes your campaigns there, we'll notice. A change that adds spend or reach is put back straight away. Any other change is kept, and we check with you before we carry on. We're not responsible for results, costs or problems caused by changes made without us.
05What we need from you
In short: answers, access, working tracking, and the truth about which enquiries became paid work. Without them, your ads can only chase cheap clicks.
5.1You agree to:
- give us the information, access and approvals we reasonably need, including what you do, your prices, your service area, your hours and any offers;
- help us set up conversion tracking. Your ads start only once it works;
- tell us which enquiries became paid work, and roughly what each was worth. We'll ask you each week;
- before your ads collect any enquiry, put a short notice beside each enquiry form on your website, and a paragraph in your privacy policy, saying that enquiry details are shared with us and Google, and keep them there while you're with us. We'll give you the wording;
- make sure everything you give us is true, isn't misleading, and is yours to use;
- confirm the facts about your business that we use in your ads, such as your licences, prices and service areas;
- keep a working website for your ads to send people to;
- tell us promptly about changes to your business, services, prices, licences or hours that affect your ads;
- keep admin access to your own Google Ads account, and keep its payment method working;
- keep safe any website login you give us, and tell us if it changes;
- have permission to share any customer details you give us;
- tell us if your business is sold (clause 10.7); and
- follow the laws that apply to your business and what you advertise, including the Australian Consumer Law and any rule to show your licence number in ads.
5.2If these things don't happen, your results may suffer, and we're not responsible for that.
06Fees and payment
In short: $480 a month plus 10% of your monthly ad budget, no GST, charged by direct debit on your start date and the same day each month. Your second fee is charged at the start of your second month, even if you've cancelled. The fee carries on while your ads are paused, except in the cases below where we pause charging.
6.1Your fee. Your fee is $480 a month plus 10% of your monthly ad budget, so $580 at the $1,000 minimum. It's worked out from the budget you set (clause 7.1), not from what Google actually spends, and it's written in your Agreement Summary before we charge you anything. If your monthly ad budget changes, your fee changes with it from your next billing date. Every invoice shows your fee apart from what Google charges you.
6.2GST and invoices. All fees are in Australian dollars. We're not registered for GST, so we don't charge it. You'll get an invoice showing our ABN for every charge. If we register for GST, GST is added to your fee (for example, $580 becomes $638 including $58 GST), and that's a price change under clause 6.9.
6.3When we charge. Your first monthly fee is charged on your start date. After that, it's charged in advance on your billing date each month, automatically, until the agreement ends. Your second fee is charged on your second billing date, even if you cancelled during your first month (clause 10.2). You authorise us, through Stripe, to charge it each month without asking you each time. Google's own checks can take 1 to 4 weeks before your ads run, and your fee starts on your start date anyway. If your Agreement Summary gives a start date after the day you sign, nothing is charged until then, and you can cancel before it and pay nothing. If your billing date is the 29th, 30th or 31st, in a month without that day you're charged on the month's last day. If your cancellation ends the agreement partway through a month, that last charge covers only the days up to your end date (clause 10.3).
6.4While your ads are paused. Your fee carries on while your ads are paused, whether you asked, you're on holiday, a fee is unpaid or our safety system paused them. Only cancelling stops it. There are four exceptions, where we pause charging as clause 6.10 says:
- Google has suspended, paused or limited your account for 14 days, for a reason that isn't your doing;
- your ads can't start within 14 days of your first fee because your website can't take our tracking, your website plan can't take our code, or another company keeps access to your Google Ads account, and that isn't your doing;
- our safety system has kept your ads paused for more than 3 business days in a row because of a problem on our side, not your website, your account, your payments or Google; or
- you've removed our access (clause 4.5).
Google's usual checks before your first ads run, such as checking your business or your ads, don't count as Google suspending, pausing or limiting your account (clause 6.3).
6.5How you pay. You pay by direct debit from your bank account. Payments are processed by Stripe Payments Australia Pty Ltd (ACN 160 180 343), "Stripe". You authorise Stripe (Direct Debit User ID 507156) to debit your nominated bank account through the Bulk Electronic Clearing System (BECS) for amounts due under the agreement. You agree to Stripe's Direct Debit Request service agreement, which Stripe shows you on our payment page and which forms part of the agreement, and you confirm you're an account holder or authorised signatory on that account. Your direct debit request covers billing dates moved under clause 6.10. If we agree that you can pay by card, your card issuer's terms also apply, and we never add a surcharge. Your bank and card details are held by Stripe, never by us.
6.6Keeping details current. If your payment method stops working, please update it within 5 business days of us telling you.
6.7If a payment fails.
- Stripe tries the payment again, up to 3 times, and we tell you each time.
- If it's still unpaid, we send you a written notice by email.
- If it's still unpaid 7 days after we sent that notice, we pause your ads. They switch back on once you've paid everything owed. Your fee carries on meanwhile (clause 6.4).
- If any amount is still unpaid 30 days after it was due, we may end the agreement by telling you in writing (clause 10.5).
6.8Questions and bank disputes. If you think a charge is wrong, tell us in writing, ideally within 14 days, and we'll reply within 7 business days. Please come to us before asking your bank to reverse a payment. A payment you dispute with your bank counts as unpaid from the day you raise it, until you pay it or the dispute closes in our favour. You get the same 7-day written notice as in clause 6.7 before your ads pause, and paying it, or the dispute closing in our favour, switches them back on.
6.9Price changes. A new price applies to new sign-ups. A change to your fee because your monthly ad budget changed isn't a price change. Your price changes only after at least 30 days' written notice, from your first billing date on or after the 30th day. You can cancel before it applies with no fee. During your launch period, that means no second fee.
6.10When we pause charging. In the cases in clause 6.4:
- a billing date that passes while charging is paused isn't charged;
- if charging restarts before your next billing date, nothing changes, and nothing is refunded for the paused days; and
- if a billing date passed, you're charged one monthly fee once charging restarts and we've emailed you the new date, and that day becomes your billing date.
A delay counts as your doing only if you keep another company's access to your Google Ads account, don't move to the website plan you agreed to move to, or don't allow tracking that works on your website. For Google's actions, it's your doing when you caused it or let a warning from Google run out. Only we can move your billing date, and only to a later day.
07Ad spend and your budget
In short: you set your monthly ad budget and pay Google directly. We keep your spend inside it, and it changes only when you sign for a change.
7.1Your monthly ad budget. Your monthly ad budget is the one you give when you sign up. It's written in your Agreement Summary, counted as ad cost before GST, and paid by you to Google directly. It sets your monthly fee (clause 6.1). After that, it changes only when you sign a short budget change form, which shows your new monthly fee, never from a phone call alone, and it can't go below the minimum.
- A smaller budget applies straight away. If this month's spend is already past the new amount, your ads pause until the 1st of next month.
- A bigger budget applies once we've approved the higher limit, and we'll tell you when it does. Either way, your new monthly fee starts on your next billing date.
7.2Daily budgets. We set your daily budgets from your monthly budget divided by 30.4, so your planned spend over the month stays within it.
7.3Google's busy days. Google can spend up to twice a daily budget on a busy day, to catch more searches. Over a calendar month, it won't charge a campaign more than its average daily budget times 30.4. That's how Google works, and we're not responsible for day-to-day swings within Google's limits.
7.4Watching your spend. We watch your spend at least once each business day (clause 1.4). If it's running ahead of plan, our safety system lowers your budgets or pauses your ads (clause 9.1). If a month's spend reaches 98% of your monthly budget, your ads pause until the 1st of the next month.
7.5What your budget covers. Your monthly ad budget covers the campaigns we run, and any old campaign Google won't let us pause (clause 4.8). It doesn't cover a campaign of your own (clause 4.7).
7.6The auction. Google sets the price of a click by auction. We control what we bid and where your ads show, not what your competitors bid.
08Reports and keeping in touch
In short: a report every month with Google's own figures and what we changed. Your live numbers whenever you want them.
8.1Your monthly report. Within 10 business days after each month ends, we email you a report showing at least:
- what Google charged you, in Google's own figures, with nothing of our fee added;
- how many times your ads showed, and how many people clicked;
- the calls and enquiries we tracked, by type;
- the jobs you told us you won, what they were worth, and what came back for each dollar spent;
- what changed that month and why; and
- any pause, and its cause.
You choose full detail or just the main numbers.
8.2Your live numbers. Your portal shows your spend, impressions and clicks, and your Google Ads customer ID, at any time. Until the portal is ready, ask us and we'll send them.
8.3Contact. Our phone number and email addresses are in your Agreement Summary. Questions go to info@questconnect.com.au. We aim to reply within 2 business days, and usually sooner. If something urgent happens, such as Google stopping your ads or a billing problem, we aim to respond within 1 business day.
8.4Messages from us. Notices come by email (clause 19.7).
8.5Going through a report. If you'd like to go through a report, ring us. There's no charge.
09How we manage your ads
In short: we can always pause or lower your ads to keep spending safe, and we never take your spend above your monthly budget.
9.1Our safety system. We can pause your ads or lower your budgets at any time, without asking, to keep spending safe. Examples are when spend runs ahead of plan, a month nears your budget, your website stops loading, or we can't check your account for a while. Our safety system can only pause or lower: it never raises a budget or switches anything on. When the reason ends, for example your website loads again or a new month starts, your ads switch back on. Each pause and its cause is in your monthly report.
9.2Never above your monthly budget. We never take your spend above your monthly ad budget. Google's busy-day spending works within that limit, as clause 7.3 explains. A campaign of your own isn't counted (clause 4.7).
9.3Nothing deleted. We never delete anything in your account.
9.4Google's own automation. If we use one of Google's automatic bid strategies, Google sets each bid within the limits we give it, and we keep watch. We use ad text Google makes automatically only where Google shows us each piece it made.
9.5Ask us why. Ask us why any change was made to your account, by us or by Google, and we'll explain it in plain English.
9.6Every account. This is how we run every account we manage. By accepting these terms, you agree to us running yours this way.
10The launch period, and ending the agreement
In short: two months minimum, at your monthly fee, then it's month to month. Cancel any time by email, with 14 days' notice: it takes effect 14 days after your email, or when the launch or the month you've paid for ends, if that's later. We unlink within 3 business days and hand over everything we hold.
10.1How long it runs. The agreement starts on your start date. Your first two months are the launch period. After that, it carries on month to month until one of us ends it.
10.2The launch period. The launch period runs from your start date to the date in your Agreement Summary (the day before your third billing date, as set when you sign), even if your billing date later moves: two months minimum, at your monthly fee. It's a minimum term, because the first two months carry most of the work: reviewing your account, setting up tracking, building your campaigns, checking everything before launch, and watching the launch closely. Your first fee is charged on your start date, and your second on your second billing date (clause 6.3). If you cancel during the launch period, your cancellation takes effect when the launch period ends, or later if clause 10.3's 14 days' notice runs past it, and your second fee is still charged on your second billing date, even if you've removed our access. Until the launch period ends, we keep running your ads, or pause them if you ask. There's nothing else to pay for leaving. Your second fee isn't charged (or, if it already was, we refund it within 5 business days), and your cancellation takes effect the day before your second billing date (or the day you cancel, if later), if:
- you end the agreement because of our serious breach (clause 10.6), or a major failure under the Australian Consumer Law;
- we change your price or these terms, and you cancel before the change applies (clauses 6.9 and 19.3);
- on your second billing date, charging is paused because of Google, a launch delay or a problem on our side (clause 6.4), not because you removed our access; or
- you end the agreement under clause 3.3.
10.3Cancelling. You can cancel at any time by emailing admin@questconnect.com.au. If the email doesn't come from the address in your Agreement Summary, we'll check with you before acting on it. If you ring us or message us another way, we'll ask you to email, and your cancellation counts once you do.
- 14 days' notice. Your cancellation takes effect on the latest of these: 14 days after we get your email; the end of the month you've already paid for (the day before your next billing date); and, during the launch period, the day the launch period ends (clause 10.2).
- Days past a billing date. If your end date falls after a billing date, then on that billing date we charge only for the days from it up to your end date, as a share of that month's fee, by your usual direct debit. It's never more than 14 days' worth.
- Our confirmation. We confirm your cancellation by email within 2 business days of getting it, with your end date, and any final amount and the date we'll take it.
- Until the end date, we keep running your ads as usual, or pause them if you ask. Tell us whether, on the end date, you'd like your ads kept running as they are or paused.
- We don't refund part of a month, unless the Australian Consumer Law gives you a refund.
- After the launch period, if charging is paused when you cancel (clause 6.4), your cancellation takes effect the day we get your email.
- The 14 days' notice doesn't apply if you cancel because we're changing your price or these terms (clauses 6.9 and 19.3), in any other case in clause 10.2's list, or under clause 10.6.
- Until the end date, you can undo your cancellation.
10.4Not used.
10.5When we can end it. During the launch period, we can end the agreement only under clause 3.4 (your business doesn't meet clause 3.1), clause 6.7 (a fee unpaid for 30 days) or clause 10.6. After the launch period, we can also end it by giving you at least 30 days' notice in writing, and we'll refund any fee for days after the end date.
10.6Either of us, straight away. Either of us can end the agreement straight away, by telling the other in writing, if the other:
- seriously breaches these terms and doesn't fix it within 14 days of being told in writing;
- becomes insolvent, or goes into administration, receivership or liquidation; or
- stops trading.
10.7If your business is sold. Please tell us. The agreement can pass to the buyer only with our OK in writing and theirs. Otherwise, you can cancel as clause 10.3 says.
10.8When it ends.
- Within 3 business days, we unlink our manager account, and remove our tracking and anything else we added to run your ads. We never delete or change anything else.
- On the end date, your ads keep running or pause, as you chose. From then, the account is yours to run.
- The old campaigns we paused at the start stay paused. We'll tell you which ones, and how to switch them back on.
- We give you, free, your own copy of your reports, settings, change history and enquiries, through a private link that works until we delete your data, or as files.
- Anything you owe us must still be paid.
- We delete everything tied to your business within 60 days of the end date. We keep your signed agreement, budget forms, invoices and payment records for 7 years, then delete them, and whatever we need to collect a fee still owed. General figures with nothing that identifies you are kept (clause 13.4). If there's a dispute, we may keep what it needs until it's settled, and we'll tell you.
- Clauses 11, 12, 13, 15, 16 and 18 keep applying.
10.9Removing our access before the end date. Once you've cancelled, you can ask us to remove our access before the end date. From then, nobody watches your ads: they keep running as they are, with no pause on the end date and no safety system. Your fee stands to the end date, with no refund unless the Australian Consumer Law gives you one.
11Who owns what
In short: you own your account and your ads. We keep our own software and methods.
11.1Yours. You own your Google Ads account and everything in it, including the campaigns, keywords and ads we write for you, and your reports. They're yours as soon as they're made, because we transfer (assign) our rights in them to you. They stay yours when you leave.
11.2Ours. We keep what we owned before and what we build for ourselves: our software, research, templates, methods and know-how. Nothing in these terms gives you ownership of those. Where our general research appears in your reports, you're free to use it as part of them.
11.3What you give us. You keep everything you give us, such as your logo, photos, content and trademarks. You let us use them only to run your ads.
11.4Our marketing. We won't put your business name, logo or results in our marketing, case studies or website without your OK in writing. If you say yes, we can still leave your name out.
11.5Moral rights. You can use and change the ads and material we write for you without crediting whoever wrote them. We'll make sure the people who write them agree not to assert their moral rights under the Copyright Act 1968 (Cth), as far as the law allows.
12Confidentiality
In short: what you tell us about your business stays with us. The same goes the other way.
12.1Keeping it private. Each of us will keep the other's confidential information private, and use it only for the agreement. Confidential information is anything that isn't public, such as your prices, margins, customers and results, and our methods, research and software.
12.2Exceptions. This doesn't apply to information that:
- is or becomes public, other than through a breach of the agreement;
- the one receiving it already knew;
- the one receiving it worked out independently; or
- the law requires to be disclosed, as long as the other is told first where the law allows.
12.3How long. This clause keeps applying for 2 years after the agreement ends.
13Your data and privacy
In short: we treat your information as if the Privacy Act fully applies to us. We don't sell it. We share your account data only with Google and the services that keep or carry it for us.
13.1The Privacy Act. We handle personal information under the Australian Privacy Principles in the Privacy Act 1988 (Cth), as if the Act fully applies to us. Our Privacy Policy explains how, and is part of the agreement.
13.2Sharing. We don't sell, rent or trade your data. We share your Google Ads account data only with Google, and with the service providers named in our Privacy Policy that keep or carry it for us, or where the law requires it. We'll ask for your OK in writing before any other sharing.
13.3Your customers' details. To tell Google which enquiries became paid work, our tracking scrambles (hashes) each enquirer's email address and phone number in their browser before anything is sent. Our tracking never collects them unscrambled, and we treat even scrambled details as personal information. If you share any customer details with us, we use them only for your ads, and you're responsible for having your customers' permission, usually through the notice in clause 5.1.
13.4General figures. With your separate OK, we keep general figures from your results, combined with other clients' and with nothing that identifies you or anyone else, to improve our software and guide other clients' ads. We keep them after the agreement ends. We never publish anything that identifies you without your OK in writing.
13.5Keeping it safe.
- Only people working for QuestConnect, and the tools we use, can access your account and your data, apart from the sharing in clause 13.2.
- We use two-step sign-in on the accounts we use to do the work.
- We use encrypted connections and a password manager.
- We never ask for your Google password. You link your account to ours instead.
13.6Data breaches. If we find a data breach that affects your information, we'll tell you as soon as we reasonably can: what happened, what was affected, and what we're doing about it. We follow the Privacy Act's notifiable data breaches scheme.
13.7Where it's kept. Our server is in Perth, with encrypted backups. Google, and some of the tools we use, store data outside Australia. Our Privacy Policy has the details.
13.8Your separate consents. The steps listed under "Your separate consents" in your Agreement Summary each need your separate OK. A step waits until you give it. You can withdraw a consent in writing, and the step it's for then stops, which may affect your results.
13.9Sales reps. If a sales rep introduced you, we tell them when you sign, pay, are refunded or leave, so we can pay their commission, and nothing else. A link a rep sends you carries their code, so we know the sign-up came through them.
14No guarantee of results
In short: we can't promise you a number of leads. Nobody honest can. We promise the work, and to be straight with you about what the numbers say.
14.1What we don't promise. We don't guarantee any number of clicks, leads, calls or jobs, any cost per lead, any return on your ad spend, or where your ads will show.
14.2Why. Results depend on things we don't control, including what competitors bid, the season, changes Google makes, your prices, your reviews, your website and how quickly the phone gets answered.
14.3Past results. Past results, including any on our website, don't promise future ones.
14.4Estimates. Any figure we give you before or during the work, such as a cost per click or an expected number of enquiries, is an estimate. We'll label it as one and say what it's based on.
14.5What we do promise. Reasonable care and skill, our honest opinion, the goals we record with you (clause 3.2), and to tell you if the numbers say your ads aren't worth running.
15Limits on liability
In short: standard limits on what either of us can claim from the other. Your rights under the Australian Consumer Law always apply.
15.1Your rights under the law. Nothing in these terms excludes, restricts or changes any right you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), or under any other law that can't be excluded.
15.2Our limit for services. Where the Australian Consumer Law lets us limit our liability for services, we limit it to supplying the services again, or paying what it costs to have them supplied again.
15.3The cap. As far as the law allows, the most either of us can be liable to the other for, in total, under or in connection with the agreement, is the total fees you paid us in the 12 months before the event that caused the claim.
15.4Indirect loss. As far as the law allows, neither of us is liable to the other for indirect or consequential loss, including lost profit, revenue, business opportunity, goodwill or data.
15.5Exceptions. The limits in clauses 15.3 and 15.4 don't apply to fraud or wilful misconduct, a breach of confidentiality (clause 12), infringing someone's intellectual property, or your obligation to pay for work done.
16Indemnities
In short: you cover us for problems caused by what you give us or how you run your business. We cover you if we break the law doing the work, and for our own wilful misconduct, gross negligence or copying someone else's work.
16.1From you. You indemnify us against claims, losses and reasonable legal costs that come from:
- content or information you give us that's untrue, misleading or infringes someone else's rights;
- your products or services not being as you told us;
- you breaking the law; or
- changes to your Google Ads account made without us (clause 4.9).
16.2From us. We indemnify you against claims, losses and reasonable legal costs that come from:
- us breaking the law in doing the work;
- us infringing someone else's intellectual property in doing the work; or
- our wilful misconduct or gross negligence.
16.3Shared fault and the cap. Each indemnity is reduced to the extent the other of us caused or contributed to the loss, and is subject to the cap in clause 15.3, except where the law doesn't allow that.
17Things outside our control
In short: if Google goes down, or something like a natural disaster stops one of us, neither of us is at fault. If it drags on past 60 days, either of us can walk away.
17.1What counts. Neither of us is liable for a delay or failure caused by something outside our reasonable control, such as:
- Google Ads outages, or changes to Google's policies or features;
- Google suspending or restricting an account, unless the one relying on this clause caused it;
- natural disasters, pandemics or other emergencies;
- government action;
- internet or power failures outside our reasonable control; or
- cyber attacks on platforms we rely on.
17.2What we each do. Whoever is affected must tell the other promptly, and do what they reasonably can to limit the effect. While Google has suspended your account, your fee follows clause 6.4.
17.3Walking away. If it stops us doing the work for more than 60 days in a row, either of us can end the agreement with 14 days' notice in writing, with nothing more to pay beyond work already done, even during the launch period.
18Sorting out disputes
In short: talk first, then mediation, with court as the last resort.
18.1The steps. If we disagree about anything to do with the agreement:
- Talk. Whoever raises it tells the other in writing, and we both try in good faith to sort it out within 14 days.
- Mediation. If that doesn't work, we go to mediation through the Small Business Development Corporation of Western Australia, or another mediator we both agree on. We each pay our own costs and split the mediator's fees equally.
- Court. If it's still not sorted 60 days after mediation starts, either of us can take it to the courts of Western Australia.
18.2Urgent help. Either of us can still ask a court for urgent relief at any time.
18.3Meanwhile. While a dispute is being sorted out, we both keep doing our part, except for whatever the dispute is about.
19The fine print
In short: Western Australian law applies. If we change these terms, you get 30 days' notice and can leave without a fee.
19.1Law. The agreement is governed by the law of Western Australia and the Commonwealth of Australia, and we both accept the jurisdiction of the courts of Western Australia.
19.2The whole agreement. The agreement (these terms, your Agreement Summary, any budget change form you sign and our Privacy Policy) is the whole agreement between us about the services. It replaces anything discussed or agreed before it.
19.3Changes to these terms. We may change these terms only by giving you at least 30 days' notice in writing. If you don't agree with a change, you can cancel before it takes effect, with nothing to pay for leaving, and during the launch period no second fee. If you don't cancel, the change applies from the date in the notice.
19.4If part doesn't stand up. If any part of these terms can't be enforced, the rest still applies.
19.5Waiver. Not enforcing a right straight away doesn't mean giving it up. Giving up a right only counts if it's in writing.
19.6Transfer. Neither of us can transfer our rights or obligations under the agreement without the other's OK in writing.
19.7Notices. Notices must be in writing. Ours go by email to the address in your Agreement Summary. Yours go by email to admin@questconnect.com.au, our address for notices in your Agreement Summary. An email counts as received when it's sent, unless the sender is told it didn't go through, and then it counts once it's sent again and gets through. Any deadline in a notice counts from the day it's sent.
19.8Relationship. We're an independent contractor. The agreement doesn't make us partners, employees or agents of each other.
19.9Signing electronically. We both agree to sign and receive the agreement, notices and other documents electronically. You sign your Agreement Summary electronically on our payment page, by ticking the "I agree" box and typing your full name, as the Electronic Transactions Act 2011 (WA) and the Electronic Transactions Act 1999 (Cth) allow.
These terms apply from 7 November 2026.
